You decide to go for the establishment of a Slovakian subsidiary

ESTABLISHMENT

Our offer:

• We counsel you (if necessary with the assistance of a lawyer or tax consultant) on the appropriate legal form for your specific intentions.
  
  In Slovakia, the following legal forms are eligible:
  
  General Partnership

  At least two partners, full liability of the partners (including private assets)
  
  Limited Partnership

  At least one general partner, at least one limited partner, minimum equity: 10 000 SKK= 270 €
  
  Private Limited Company

  At least one shareholder; minimum equity:
  200 000 SKK= 5 250 €;
  Most common legal form in Slovakia
  
  Public Limited Company

  At least one shareholder, 1 000 000 SKK minimum
  equity= 27 000 €
  
  Cooperative society

  At least 5 individuals or at least 2 legal entities;
  Minimum equity: 50 000 SKK = 1 350 €.

   

• We procure the required documentation
  One of the most important documents is the trade license.
  For several trades more documentation is required which has to be presented to the agency of commerce

• We draw up the documentation of establishment
  (in cooperation with a lawyer)
  We prepare the documentation of establishment in Slovak and English; Slovak version relevant officially – this documentation has to satisfy Slovak legal rules as well as your expectations. Lawyer is consulted if necessary

• We take care of the registration in the trade registry.
  Withing 5 working days, the court of registration provides for the trade registry documentation, which is crucial for your Slovak enterprise.

• We take care of the registration with the tax authorities including the assignation of tax numbers
   

• We provide for a registered office
  Prior to registration, an office has to be determined which is included in the documentation of establishment. We offer the option to use an address provided by us as. A postal address as well as immediate postal forwarding to you are included. If you do not wish to use request this service then a rental or acquisition contract for your company has to be presented prior to registration.

• According to your specifications, we search for an office or production site.
  We use a strong network of contacts to agents, local authorities, companies etc throughout the search for a location compliant with your requests.

  In order to secure your Slovak enterprise´s success the right choice is key. We always provide for several alternatives and transparent information as a base for your decision. We analyse local features (infrastructure, labour potential, cost structure) for you.

  You will always be accompanied during inspections, supported during negotiations and all meetings will be interpreted.

• We open up a company account
  We counsel you on the choice of your first bank connection in Slovakia, which has to be suited to your special needs. We take care of the first steps for you or in cooperation with you.

• We take care of official and insurance issues
  It depends on your intentions and plans which steps have to be taken in connection with official authorities.; we inform you on procedures and times frames of any single step

  We prepare the necessary documentation, establish contact with the relevant authorities and try to minimize the time consumption of all official procedures.

  We counsel you on all insurance issues and take care of the necessary steps.

   

• We counsel you on eligible public sponsoring of your new enterprise
  We provide for an overview of eligible public sponsoring programs of the single ministries and authorities which are relevant to your new enterprise

  We inform you on procedural matters and requirements. In cooperation with experts we prepare the necessary documentation, hand it in and provide for follow-up service.
   

• We look for adequate personnel.
  You define the requirements for your Slovak staff according to which we perform our search. As fast as possible we present short-listed candidates to you. As your staff is a crucial factor for your new enterprise, we are extraordinarily dedicated to this procedure.

  We counsel you on the prevalent staff expenses in the respective region and prepare contracts of employment.

  We provide information on non-wage labour costs and the basic labour law and take care of the registration of the first employees with insurances and tax authorities.

• We take care of necessary infrastructural measureas (telephone, internet etc.)
  If not take care of your first employees, we can take care of the procurement of goods and services such as telephone, office equipment, internet connection, homepage, etc.
